By using VSL Market ("the Platform"), you agree to these Terms. VSL Market provides two distinct services:
- B2B Sourcing: VSL Market acts as a wholesale supplier selling goods to you.
- Platform Services: VSL Market provides software tools for you to sell goods to your customers.
You acknowledge that different liabilities apply to each service as detailed below.
- You must represent a legal business entity or be of legal age to conduct commerce.
- You are responsible for maintaining the confidentiality of your account credentials.
- You accept full responsibility for all activities, including orders placed and content posted, under your account.
3.1 Merchant of Record
You are the "Merchant of Record" for all sales to your end-customers. You are solely responsible for:
- Fulfillment of orders to your customers.
- Handling all customer support inquiries.
- Processing refunds, returns, and chargebacks.
- Complying with local consumer protection laws.
3.2 No Fund Custody
VSL Market does not process, hold, escrow, or transmit funds paid by your customers. Payments (Crypto, Cash, P2P) are settled directly between you and your customer. We disclaim all liability for financial disputes arising from these direct payments.
When you purchase wholesale items directly from VSL Market:
- Orders: Orders are confirmed only upon receipt of payment.
- Refunds: Refunds are governed strictly by our Refund Policy. We are only liable for refunds if we fail to deliver the goods.
- Liability Limit: Our liability is limited to the purchase price of the specific undelivered goods. We are not liable for lost profits or downstream damages (e.g., if your customer cancels an order).
- You authorize us to access your social accounts (e.g., Meta, Instagram) via API to provide platform features like product imports and messaging.
- We rely on Meta's APIs; we are not responsible for service interruptions or data limits imposed by Meta.
- Your use of these connections is subject to the Terms of Service of the respective social platforms.
6.1 Reliance on Third-Party Policies
VSL Market integrates directly with social media platforms (e.g., Instagram, Facebook). To ensure the safety and legality of our ecosystem, we strictly adhere to the content policies of these connected platforms.
- Permitted Content: We only permit you to sell items that are already approved, published, and visible on your connected social media account.
- Verification: By connecting your account, you verify that your content has passed the moderation filters of the social platform.
- Prohibited Items: If an item is flagged, removed, or restricted by the social media platform, it is automatically prohibited on VSL Market.
6.2 Indemnification for Imported Content
Since we rely on your social media account's standing for compliance, you agree to indemnify VSL Market against any claims arising from the content you import. We act as a passive conduit for content that has already been published on your verified social media channels.
You may not use VSL Market to:
- Sell illegal, counterfeit, or prohibited items that violate local laws.
- Engage in fraudulent schemes or money laundering.
- Scrape data or disrupt the technical infrastructure of the Platform.
Violation of these terms will result in immediate account termination.
THE PLATFORM IS PROVIDED "AS IS". TO THE FULLEST EXTENT PERMITTED BY LAW, VSL MARKET DISCLAIMS ALL WARRANTIES. WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE PLATFORM OR YOUR TRANSACTIONS WITH YOUR CUSTOMERS.
These Terms are governed by the laws of the jurisdiction where VSL Market is incorporated. Any disputes involving VSL Market shall be resolved in the courts of that jurisdiction.
